Full write-up
the complete guide, in proseIf the question says … the answer is …
- If an individual represents an issuer in exempt transactions with no commission, then not an agent, no registration.
- If a firm has no office in the state and serves only existing customers who moved there, then outside the broker-dealer definition until it solicits a new one.
- If the customer signed anything waiving the Act, then the waiver is void and the conduct is judged as if unsigned.
- If the stem asks who proves an exemption, then the person claiming it.
- If the Administrator acts before any hearing, then a cease and desist order with a hearing on request; denial, suspension and revocation follow notice and a hearing.
- If the security is federal covered, then notice filing, consent to service and a fee; no merit review, antifraud still applies.
- If the customer named security, quantity and side and left only timing and price, then not discretion; no written authority, good for the day.
- If an agent promises to make up losses, guarantees a result, or says registration means approval, then prohibited, whatever is written, approved or accredited.
- If customer money lands in an agent’s personal account, then commingling, complete at that moment.
- If the trade was unauthorized, then profit and a later signature change nothing; a blank signed ticket adds a records violation.
- If a trade runs between two investors, then secondary market; the issuer receives no proceeds.
- If an insurer guarantees the rate, then fixed annuity, not a security; a variable annuity is one.

Night-before checklist
- Say the passing line aloud: 43 of 60 scored, 65 on screen, 75 minutes.
- Recite the three essentials of discretion: security, quantity, side. Time and price are not discretion.
- Recite the two exemption facts: the claimant proves it, and no exemption reaches the antifraud provisions.
- Recite the hearing order: cease and desist first, hearing after; denial or revocation only after notice and a hearing.
- Confirm the appointment falls inside the 120-day window and the test center address matches the confirmation.
Frequently asked questions
What topics does your Series 63 cheat sheet cover?
It condenses the exam's tested areas — Regulation of Broker-Dealers, Regulation of Securities and Issuers, Regulation of Broker-Dealer Agents, Remedies and Administrative Provisions, Ethical Practices and Obligations, Communication with Customers and Prospects, Regulation of Investment Advisers, and Regulation of Investment Adviser Representatives — into the definitions, exclusions, and administrator powers that come up most often in our practice bank. Each section is short enough to scan in a couple of minutes.
What's the best way to use the cheat sheet the night before the Series 63?
Skim every section once and mark only the lines that feel unfamiliar, then reread just those marks a second time. Treat the sheet as a refresher for what you've already studied rather than a place to absorb new material the night before a licensing exam. Stop reviewing with enough time left to get a full night's sleep.
Will memorizing a cheat sheet alone get me through the Series 63?
No. A cheat sheet condenses material you've already learned; it doesn't build the skill of applying a state-law rule to a scenario, which is what the exam actually tests. Use it to lock in terms and rules after full study and practice questions, not as a substitute for either one.
Can I bring my Series 63 cheat sheet into the testing room?
No. Outside materials of any kind stay out of the room — it's a closed-book test, so personal notes, printed sheets, and phones aren't allowed inside. Test centers provide any scratch material candidates may use under their own rules, and staff check your belongings before you're seated.
What kind of traps should a Series 63 cheat sheet call out?
It should flag the difference between a person or security excluded from a definition entirely and one merely exempt from registration, since the exam tests that distinction constantly. It should also flag state-versus-federal mix-ups and absolute words like 'always' or 'never' in an answer choice, both classic markers of a wrong option.
